Terms of Service

These terms are the agreement between you and Vallejo Labs ("Vallejo Labs", "we", "us") for the use of Commnd. By creating an account or using Commnd, you accept them. If you are accepting on behalf of a company, you confirm you are authorised to bind it, and "you" means that company.

1. What Commnd is

Commnd is a marketing operations platform. It connects to advertising, analytics, commerce and communication platforms that you already control, reads performance data from them, and uses AI agents to produce reports and recommendations across six marketing areas.

Commnd is a decision-support tool, not an autonomous operator. It will not write any change to a connected platform unless a named person in your organization has approved that specific recommendation.

2. Your account

• You must be at least 16 and able to enter a binding contract.
• Give accurate information and keep it current.
• You are responsible for what happens under your account and for the security of your sign-in credentials.
• Tell us promptly at admin@myaimatch.ai if you believe your account has been compromised.
• Organization administrators are responsible for who they invite and what those people can approve.

3. Connected platforms

By connecting a platform to Commnd, you confirm that:

• You own the account, or are authorised by its owner to connect it.
• You have the right to let Commnd read data from it and, once you approve a recommendation, to write changes to it.
• You will comply with that platform's own terms — including Meta's Platform Terms and Developer Policies where a Meta product is connected.

Connected platforms are operated by third parties. We are not responsible for their availability, their accuracy, or changes they make to their interfaces. If a platform changes or withdraws access, some Commnd features may stop working until we adapt.

4. Approvals, and what they mean

Approving a recommendation authorises Commnd to make that change on the connected platform on your behalf. Before you approve, read it.

• Approval is an instruction from you. You are responsible for the consequences of changes you approve, including advertising spend.
• Every write to a connected platform is recorded, with the payload we sent and the response we received.
• We do not control what a platform does with an instruction once it is accepted, and we cannot reverse a change on your behalf unless you ask us to and it is still reversible.

5. AI-generated output

Recommendations, analyses and written copy produced by Commnd are generated by large language models. They can be wrong, incomplete or unsuitable for your situation.

• Review AI output before acting on it. That is what the approval step is for.
• Commnd's output is not legal, financial, tax or professional advice.
• Similar output may be generated for other customers; we make no claim of exclusivity in it.
• As between you and us, you own the output produced for your organization, and you own the data you connect.

6. Acceptable use

You will not:

• Connect an account you do not own or are not authorised to use.
• Use Commnd to break the law, or to break a connected platform's terms.
• Use Commnd to create deceptive advertising, or advertising for goods and services prohibited by the connected platforms.
• Attempt to access another organization's data, probe or breach our security, or interfere with the service.
• Resell, sublicense or white-label Commnd without a written agreement with us.
• Reverse engineer the service, or use it to build a competing product.
• Upload personal data of your customers or ad audiences into Commnd. Commnd is designed for aggregated figures and is not the right place for it.

We may suspend an account that breaches this section, and will tell you why where we lawfully can.

7. Ownership

Vallejo Labs owns Commnd — its software, design, brand and documentation. Nothing here transfers that to you. You get a limited, non-exclusive, non-transferable right to use Commnd for your own business while these terms are in force.

You keep ownership of your data. You grant us only the permission we need to run Commnd for you, as described in the Privacy Policy.

8. Fees

Where a paid plan applies, prices and billing terms are those presented to you when you subscribe. Fees are payable in advance and, except where the law requires otherwise, are non-refundable. We will give at least 30 days' notice before a price change takes effect for you.

Advertising spend on connected platforms is billed by those platforms, not by us. Commnd never charges you for your ad spend.

9. Availability

We work to keep Commnd available but do not guarantee uninterrupted service. We may take it down for maintenance, and we may change or discontinue features. For a change that materially reduces functionality you rely on, we will give reasonable notice.

10. Disclaimer

To the fullest extent permitted by law, Commnd is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that Commnd's recommendations will improve your marketing results.

Nothing in these terms excludes liability that cannot lawfully be excluded, and consumer rights you have by law are unaffected.

11. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue or lost data, even if advised such damages were possible.

Our total aggregate liability arising out of or relating to these terms is limited to the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars.

12. Indemnity

You will defend and indemnify Vallejo Labs against claims, losses and reasonable legal costs arising from your use of Commnd in breach of these terms, from data you connect that you had no right to connect, or from changes you approved.

13. Ending the agreement

• You may stop using Commnd and ask us to delete your organization at any time — see Data Deletion.
• We may suspend or terminate your access for a material breach of these terms, for non-payment, or where required by law.
• On termination, your right to use Commnd ends. We delete your data on the schedule set out in the Privacy Policy. Sections 7, 10, 11, 12 and 15 survive.

14. Changes to these terms

We may update these terms. We will change the date at the top and, for material changes, email organization administrators at least 30 days beforehand. Continuing to use Commnd after a change takes effect means you accept it.

15. Governing law

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law rules. The state and federal courts located in Broward County, Florida have exclusive jurisdiction, and both parties consent to that venue.

16. General

• These terms and the Privacy Policy are the entire agreement between us about Commnd.
• If a provision is held unenforceable, the rest stays in force.
• Not enforcing a right on one occasion does not waive it.
• You may not assign these terms without our written consent. We may assign them to a successor of our business.
